Annual Meeting planning in full swing
We received a lot of input from club members at the bylaws Q&A session on
February 10. The bylaws committee has incorporated the comments in a final
version of the new bylaws. We will include the new bylaws in the official
Annual Meeting notice that is currently being sent out.
The officers and trustees are working on a slate of nine directors that
will be presented for voting at the Annual General Membership meeting on
March 3rd at 12 PM. According to the new bylaws, directors will serve 3
year terms and 3 directors will be up for election each year. Because this
is the first year, all 9 directors will be elected at the AGM for
staggered terms – 3 for 1 year, 3 for 2 years, and 3 for 3 years.
The new bylaws also provide opportunities for members to be elected who
are not on the slate proposed by the officers and trustees. There are two
ways – a member can obtain the signatures of 10% of members in good
standing on a petition requesting inclusion on the ballot that is
delivered to the board 10 days prior to the meeting date. A member’s name
can also be written in on the ballot.
However, there won’t be a election of directors at all if the new bylaws
are not adopted. The old bylaws specify that a vote of two thirds of the
members is required, and proxy voting is not allowed. It is extremely
important that all members attend the Annual Meeting for this vote. Please
make every effort to attend.
